1. Acceptance of Terms

Welcome to Skilit. These Terms of Service ("Terms") govern your access to and use of the Skilit mobile application, website, and related services (collectively, the "Service") operated by Skilit ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Skilit is a micro-learning platform that provides educational content to help professionals master AI tools. The Service includes:

  • Personalized learning paths based on your professional role and goals
  • Interactive lessons and hands-on practice exercises
  • Progress tracking, streak maintenance, and achievement systems
  • Access via mobile applications (iOS and Android) and web browser

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to your account. We are not liable for any loss or damage arising from your failure to protect your account.

3.3 Account Eligibility

You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this age requirement.

4. Subscriptions and Payments

4.1 Free and Paid Tiers

Skilit offers both free and paid subscription tiers. Free users have access to limited features, including 24-hour waiting periods between lessons and practices. Paid subscribers ("Pro" members) receive additional benefits, including immediate access to all content without waiting periods.

4.2 Payment Terms

If you choose a paid subscription, you agree to pay all applicable fees. Payments are processed through our third-party payment processor, Stripe. By providing payment information, you represent that you are authorized to use the payment method.

4.3 Subscription Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support.

4.4 Refunds

Subscription fees are generally non-refundable, except where required by applicable law. If you believe you are entitled to a refund, please contact us at support@skilit.io.

5. Intellectual Property

5.1 Our Content

The Service and its original content, features, and functionality are owned by Skilit and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. This includes all lessons, practice exercises, graphics, logos, and software.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational purposes, subject to these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, or otherwise use our content without our prior written consent.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.

6. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Share your account credentials or allow others to access your account
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Use automated means (bots, scrapers, etc.) to access the Service without our consent
  • Interfere with or disrupt the integrity or performance of the Service
  • Copy, reproduce, or distribute our content without authorization
  • Circumvent or manipulate the progression system, XP, or achievement mechanics
  • Harass, abuse, or harm other users or Skilit personnel

7. Third-Party Services

The Service may contain links to or integrate with third-party websites, applications, or services. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and policies.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not guarantee any specific learning outcomes or results from using the Service.

The educational content provided through the Service is for informational purposes only and should not be considered professional advice. The AI tools and techniques taught may change over time, and we make no guarantees about the continued accuracy or applicability of our content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SKILIT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Skilit and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us at support@skilit.io or through your account settings. Upon termination, the following provisions will survive: Sections 5 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Governing Law).

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or through the Service and updating the "Effective Date" at the top. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and the arbitral decision shall be final and binding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Skilit regarding the Service and supersede all prior agreements and understandings.
